Terms and Conditions

• “Merchant Portal” refers to the online platform provided by Whiz Delivery that allows merchants to manage orders, fulfillment, and related services.
• “Service” means the Merchant Portal and any related features or tools made available to Merchants.
• “Confidential Information” means any non-public business or technical information disclosed by Whiz Delivery to You.
• “Account” means the log-in credentials issued to and used by the Merchant to access the Portal.

By accessing or using the Portal, You agree to these Terms and all applicable laws and regulations. If You do not agree with any part of these Terms, You must stop using the Portal immediately. These Terms apply to all Merchants regardless of reason for access.

• You are a valid business entity with authority to enter this agreement.
• You will use the Portal in compliance with all applicable laws and regulations.

• Provide accurate, complete, and up-to-date information when registering and on Your portal dashboard.
• Maintain the confidentiality of Your Account credentials and restrict access to authorized personnel only.
• Manage Your store, inventory, fulfillment, and customer orders through the Portal in accordance with Whiz Delivery’s policies.

Whiz Delivery grants You a limited, non-exclusive, revocable, and non-transferable license to access and use the Merchant Portal solely to manage Your delivery orders and related business operations. You agree not to use the Portal to:

• Violate any applicable laws.
• Harm or exploit others.
• Reverse engineer or interfere with the operation of the Portal.

Where applicable, You agree to pay all fees associated with Your use of the Portal or related services in accordance with Whiz Delivery’s pricing policy or Merchant agreement.

All content, software, and functionalities provided through the Portal are the exclusive property of Whiz Delivery or its licensors. You may not copy, modify, distribute, or create derivative works based on Whiz Delivery’s intellectual property without prior written consent.

You agree to keep all Confidential Information strictly confidential and not to use or disclose it except as permitted under these Terms or with prior written consent from Whiz Delivery.

Whiz Delivery may suspend or terminate Your access to the Merchant Portal at any time and for any reason, including if You violate these Terms. Upon termination, Your license to use the Portal immediately ends.

• Whiz Delivery and its affiliates are not liable for any indirect, incidental, special, or consequential damages.
• Whiz Delivery’s total liability arising from or related to the Portal shall not exceed the total fees paid by You for the Service in the prior twelve (12) months.

The Portal and all related services are provided “AS IS” and “AS AVAILABLE” without any warranty or guarantee, whether express, implied, statutory, or otherwise. Whiz Delivery makes no representation that the Portal will be uninterrupted or error-free.

These Terms are governed by the laws of the jurisdiction in which Whiz Delivery is incorporated (e.g., Province of Ontario, Canada), without regard to its conflicts of law rules.

If You have any issue or dispute related to these Terms or the Portal, You agree to first attempt to resolve the dispute informally by contacting Whiz Delivery’s support team.

Whiz Delivery reserves the right to modify or replace these Terms at any time. Material changes will be communicated reasonably in advance. Continued use of the Portal after such changes constitutes acceptance of the revised Terms.
